Intellectual Property Claims

This page explains who owns the intellectual property you encounter when using Gnosis, how we treat third-party standards and trademarks, and how to report a claim of intellectual-property infringement. It forms part of, and should be read alongside, our Terms of Service.
Section 1 — Gnosis's intellectual property
The Gnosis platform — including the software, source code, user interface, design, the "Gnosis" name and logo, our documentation, and any templates, rulebook structures, and reports created by Gnosis — is owned by Gnosis Limited and/or its licensors and is protected by copyright, trademark, and other intellectual-property laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use Gnosis as provided, for your own internal business purposes, for the term of your subscription. It does not transfer any ownership. Unauthorised copying, reproduction, redistribution, reverse engineering, or use of the Gnosis brand is not permitted and may result in legal action. Full terms are in §8 of our Terms of Service.
Your content remains yours. Anything you upload or create in Gnosis is your intellectual property, not ours — see §6 of the Terms.
Section 2 — Third-party standards and trademarks
Gnosis helps you administer contracts written against published industry standards. To do that, we refer to those standards and the bodies that publish them. These references are nominative — that is, we name a standard so you know which rulebook applies to your contract. They do not imply any affiliation, sponsorship, endorsement, or partnership.
Standards and organisations referenced in Gnosis include, among others:
- NZS 3910, NZS 3916, NZS 3917 and related conditions of contract — trademarks and copyright of Standards New Zealand.
- AS 4000, AS 4902, AS 2124 and related conditions of contract — trademarks and copyright of Standards Australia.
- AIA contract documents — trademarks and copyright of the American Institute of Architects.
- EJCDC documents — trademarks and copyright of the Engineers Joint Contract Documents Committee.
- Waka Kotahi NZ Transport Agency specifications, and other public-authority specifications, where referenced.
- Statutory regimes referenced for compliance, including the Construction Contracts Act 2002 (New Zealand) and the Security of Payment legislation of the Australian states and territories.
All such trademarks, standard designations, and copyrighted texts remain the property of their respective owners. Gnosis does not reproduce or distribute the copyrighted text of any third-party standard. Where the platform reflects a rule or statutory period, it does so as a factual reference or citation to the relevant clause or section — you remain responsible for holding a licensed copy of any standard your contract relies on.
If you own rights in a standard or specification and believe Gnosis has referenced it incorrectly or beyond fair/nominative use, contact us using Section 3 below and we will address it promptly.
Section 3 — Reporting intellectual-property infringement
We respect the intellectual property of others and ask our users to do the same. If you believe that content on gnosis.ltd or within the Gnosis platform infringes your intellectual-property rights, send us a written notice including:
- Identification of the work or right you say has been infringed.
- Identification of the material you say is infringing, and its location (a URL or a clear description of where it appears in the app).
- Your contact details — name, organisation, email, and postal address.
- A statement that you have a good-faith belief the use is not authorised by the rights-holder, its agent, or the law.
- A statement that the information in your notice is accurate, and that you are the rights-holder or authorised to act on the rights-holder's behalf.
- Your physical or electronic signature.
Send to: info@gnosis.ltd — subject line: "IP claim". We will acknowledge your notice, review it, and where appropriate remove or disable access to the material and notify the party who supplied it.
Section 4 — Counter-notice
If your material was removed and you believe that was a mistake or misidentification, you may send a counter-notice to info@gnosis.ltd (subject line: "IP counter-notice") including: identification of the removed material and its former location; a statement, made in good faith, that it was removed as a result of mistake or misidentification; and your contact details and signature. We will review counter-notices in good faith.
Section 5 — Repeat infringers
We may suspend or terminate, without notice, the accounts of users who repeatedly infringe the intellectual-property rights of others, consistent with §7 (Acceptable use) and §13 (Termination) of our Terms of Service.
